Terms of Service

1. Agreement to Terms
By accessing or using any website, service, or product offered by Tech Assets, LLC (“Tech Assets,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Tech Assets provides software engineering, cloud infrastructure, AI development, data migration, and related hosting services. Specific services, deliverables, timelines, and fees are defined in a separate statement of work, order form, or service agreement signed by both parties.
3. Acceptable Use
You may not use our services to violate any applicable law, infringe intellectual property rights, distribute malware, send spam, or engage in any activity that harms our network, other customers, or third parties. We reserve the right to suspend or terminate access for violations.
4. Intellectual Property
Each party retains ownership of its pre-existing intellectual property. Work product created specifically for you under a signed agreement is governed by the ownership and license terms in that agreement. Our general methodologies, tools, libraries, and know-how remain our property.
5. Confidentiality
Both parties agree to protect any confidential information disclosed during the course of work and to use it only for the purpose of performing the agreed services. This obligation survives termination of the business relationship.
6. Payment
Fees, invoicing schedules, and payment terms are set forth in the applicable agreement or order form. Unless otherwise stated, fees are due net 30 days from invoice date. Late payments may be subject to interest and suspension of services.
7. Limitation of Liability
To the fullest extent permitted by law, Tech Assets shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or related to our services. Our total liability shall not exceed the amount paid by you for the services giving rise to the claim in the twelve months preceding the event.
8. Indemnification
You agree to indemnify and hold harmless Tech Assets and its officers, employees, and contractors from any claim, loss, or damage arising from your use of the services, your content, or your violation of these terms.
9. Termination
Either party may terminate a services agreement in accordance with the termination provisions in that agreement. Upon termination, you remain responsible for all fees incurred prior to termination.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Pinellas County, Florida.
11. Changes to Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our services after changes constitutes acceptance of the revised Terms.
